Project MIDEX AI ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our decentralized ecosystem, including the MIDEX website, DAO governance platform, analytics tools, decentralized exchange (DEX), and other associated services (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

Unincorporated Status; Contact

MIDEX AI is currently developed and maintained by an unincorporated group of contributors ("the Team"). The Team is not a registered legal entity and contributors may be subject to personal liability for actions taken on behalf of the project. 1. Acceptance of Terms

By accessing or using MIDEX AI's Services, you confirm that you:

• Are at least 18 years old or of legal age to form a binding agreement in your jurisdiction.
• Have read, understood, and agree to these Terms.
• Acknowledge that blockchain transactions are irreversible and immutable.

2. Changes to Terms

We may update these Terms from time to time. Changes will be effective immediately upon posting to our website or other communication channels. Continued use of the Services after updates constitutes your acceptance of the revised Terms.

3. Description of Services

MIDEX AI provides a range of tools and services, including:

• Meme Index 500: Display a curated index tracking the top 500 meme coins.
• Analytics Platform: Real-time data, market insights, and AI analytics for meme cryptocurrencies.
• Decentralized Exchange (DEX): A swap platform for meme tokens.
• DeFi Tools: Features like staking, liquidity pools, and risk management tools.
• DAO Governance: A decentralized governance system powered by $MIDAO tokens.

Additional services may be added or modified at our discretion.

AI-Generated Content: The Services utilize artificial intelligence technologies. AI outputs are automated, may be inaccurate or misleading ('Hallucinations'), and do not constitute professional advice. You must verify all AI-generated information independently.

Custody Notice: Custodial services (holding user funds, custodial wallets, or any functionality that requires the Platform to hold users' private keys or assets) are disabled until the Team forms a registered legal entity. Any feature that would create custody of user funds is not available and will remain disabled until incorporation and appropriate legal/financial arrangements are in place.

Transactions may incur fees and blockchain gas charged by the blockchain and/or third‑party DEX providers. MIDEX AI does not control such fees. Swaps are executed by third‑party DEX providers or by smart contracts operated by our partners; MIDEX AI acts solely as an interface and does not custody user funds. All swap execution and settlement occur through those third parties.

4. Use of Services

You agree to use our Services only for lawful purposes and in compliance with these Terms and applicable laws. Specifically, you agree not to:

• Engage in fraudulent, deceptive, or illegal activities.
• Interfere with or disrupt the Services, including through unauthorized access or the introduction of malicious code.
• Use the Services to promote or engage in market manipulation or scams.
• Violate any intellectual property or privacy rights of others.

We reserve the right to restrict, suspend, or terminate your access to the Services for any violation of these Terms.

4.5 Prohibited Jurisdictions and Sanctioned Parties

The Services are NOT available to persons or entities located in, resident of, or organized under the laws of jurisdictions subject to comprehensive sanctions (including, but not limited to, jurisdictions designated by OFAC, EU, UK, or UN sanctions programs). You represent and warrant that you are not listed on any sanctions lists (including OFAC SDN List) and are not acting on behalf of a sanctioned party.

We reserve the right to employ blockchain analytics and screening tools (e.g., Chainalysis, Elliptic, TRM Labs) to monitor wallet addresses and activity. We may block, suspend, or terminate accounts and report suspicious or sanctioned activity to relevant authorities. Attempting to circumvent geographic or sanctions restrictions (e.g., via VPNs or proxies) is prohibited and may result in permanent account suspension.

5. Blockchain and Smart Contracts

MIDEX AI operates on decentralized blockchain networks. By using our Services, you acknowledge and accept the following:

• Blockchain transactions are public, immutable, and cannot be reversed once executed.
• You are solely responsible for safeguarding your wallet credentials (private keys, seed phrases) and ensuring their security.
• MIDEX AI does not control or guarantee the functionality of third-party blockchains.

6. Governance Participation

Participation in MIDEX AI governance requires $MIDAO tokens. By participating, you acknowledge that:

• Proposals and voting results are public and transparent.
• Decisions made through DAO governance are binding and may impact the ecosystem.
• MIDEX AI is not liable for outcomes or decisions made through community governance.

7. Fees and Payments

Some features of our Services may require payment or incur fees, including:

• Trading fees on the DEX.
• Subscription fees for advanced analytics.
• Fees for staking, liquidity pools, or other DeFi tools.

All fees will be transparently disclosed. You agree to pay any applicable fees associated with your use of the Services.

MIDEX AI may receive incentives, fees, or commissions from third-party protocols or partners for routing transactions.

Tax Responsibility: You are solely responsible for determining, reporting, and paying any taxes or duties arising from your use of the Services and any transactions you execute. MIDEX AI does not provide tax advice.

8. Risk Acknowledgment

By using MIDEX AI Services, you acknowledge and accept the following risks:

AS IS; No Fiduciary Duty: The Services are provided "AS IS" and the Team, its contributors, and volunteers do not owe any fiduciary duty to users.

Volatility: Meme coins are highly volatile, and prices may fluctuate significantly.

Smart Contract Risks: Decentralized applications and smart contracts may contain bugs or vulnerabilities.

Regulatory Risks: Laws and regulations regarding cryptocurrencies may vary by jurisdiction and could impact your use of the Services.

Loss of Funds: You are solely responsible for managing your investments and wallet security.

MIDEX AI is not liable for any financial losses or damages incurred while using the Services.

9. Intellectual Property

All content, trademarks, and materials provided by MIDEX AI, including but not limited to the MIDEX AI 500, analytics tools, and platform features, are the intellectual property of MIDEX AI or its licensors. You may not reproduce, modify, or distribute these materials without prior written consent.

10. Limitation of Liability & Disclaimer

MIDEX AI is developed and maintained by an unincorporated team of volunteers. The Team assumes NO LIABILITY, whether direct, indirect, incidental, consequential, special, or punitive, for any damages, losses, or claims arising from:

• Your use or inability to use the Services.
• Errors, bugs, vulnerabilities, or interruptions in the Services.
• Loss of data, funds, or assets related to blockchain transactions.
• Actions of third-party protocols, DEX providers, or smart contracts.
• Any breach, hack, exploit, or security incident.
• Regulatory actions, legal liability, or government intervention.

Full Risk Assumption: By using MIDEX AI, you assume 100% of all risks. The Team provides the Services "AS IS" without warranties, guarantees, or representations of any kind. You waive any right to claim damages or seek compensation from the Team, contributors, or affiliates.

11. Indemnification

You agree to indemnify and hold harmless MIDEX AI, its contributors, and affiliates from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or infringement of any rights.

12. Termination

We may terminate or suspend your access to the Services at our sole discretion, without prior notice, for any violation of these Terms or if required by law. Upon termination, you remain bound by any provisions of these Terms that survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the United Arab Emirates, without regard to its conflict of laws provisions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be finally resolved by arbitration administered by the Abu Dhabi Global Market (ADGM) Arbitration Centre under its Rules.

Class Action Waiver: YOU AND MIDEX AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION OR PROCEEDING. Unless both you and MIDEX AI agree otherwise in writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative, collective, or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and disputes shall be resolved in a court of competent jurisdiction.

Unincorporated Status; Contact: As stated above, MIDEX AI is developed by an unincorporated Team. For legal notices or inquiries please contact: legal [at] midex.io. The Team intends to incorporate in a suitable jurisdiction and will update these Terms and notify users upon incorporation.

16. Force Majeure

MIDEX AI shall not be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay is due to Force Majeure Events, including but not limited to blockchain network failures, hard forks, consensus failures, cyberattacks, DDoS, acts of government or regulatory action, terrorism, war, natural disasters, or other events beyond reasonable control.

During a Force Majeure Event, MIDEX AI may suspend or limit access to all or part of the Services, pause operations, or take emergency measures without prior notice. If a Force Majeure Event continues for more than 90 consecutive days, either Party may terminate these Terms upon written notice.

Force Majeure Events do not entitle users to refunds of fees paid or compensation for losses arising from such events.

17. Data Breach Notification

In the event of a data breach affecting personal data or user funds, MIDEX AI will: (a) take reasonable steps to contain the breach and assess its impact; (b) notify affected users without undue delay and, where required by applicable law, within 72 hours of becoming aware of the breach; and (c) provide guidance on steps users should take to protect themselves.

Users should report suspected security incidents to security [at] midex.io. As an unincorporated team, MIDEX AI assumes NO LIABILITY whatsoever for data breaches, losses, or damages. Users acknowledge that they use the Services entirely at their own risk.

14. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and MIDEX AI regarding your use of the Services.

Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force and effect.

No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
